Terms governing your access to and use of the LITT platform and services.

Clickwrap Notice

By creating an account, accessing or using the Litt platform or clicking "I Agree," you agree to these Terms. If you accept on behalf of an entity, you represent that you have authority to bind that entity and the term "you" refers to you and that entity. If you do not agree, do not use the Services. These Terms form a binding agreement with WASSERSTOFF RJ INNOVATIONS PRIVATE LIMITED.

This General Users Agreement (the "Terms") governs your access to and use of the Services. Please read carefully, including the Jurisdiction-Specific Terms — India if you are located in India or your use relates to India.

2.

Definitions

"Company", "we", "us", "our" means LITT (Incorporated as WASSERSTOFF RJ INNOVATIONS PRIVATE LIMITED, 802, Ansal Bhawan, 16, Kasturba Gandhi Marg, Connaught Place, New Delhi, Central Delhi — 110001, Delhi).

"Services" means the Litt website, apps, and legal AI features including search, drafting, messaging, and the marketplace to connect with professionals.

"User" or "you" means a person accessing or using the Services.

"Professional" means a licensed lawyer or registered legal professional using the Services to provide legal services to Users.

"Content" means text, documents, data, prompts, messages, files, or other materials submitted to or generated by the Services.

"AI Output" means any content generated by the Services using artificial intelligence models.

"Jurisdiction-Specific Terms" means the addendum that applies to Users or Professionals based in certain countries/regions (including India).

Accounts and Eligibility

To use the Services, you must be at least the age of majority in your place of residence and capable of forming a binding contract. You represent the accuracy of all account information and will maintain the security of your credentials.

Do not share login credentials or permit unauthorized access.

You remain responsible for all activity under your account.

4.

Service Scope and Relationship

The Services are an AI-assisted legal information and productivity platform. We are not a law firm and do not provide legal advice. No attorney–client relationship is created between you and the Company by your use of the Services. If you choose to engage a Professional through the platform, your attorney–client relationship (if any) is formed solely between you and that Professional under a separate engagement agreement.

5.

AI Outputs; No Legal Advice; Human Review

AI Output may contain errors, inaccuracies, or omissions and may produce different results to similar inputs.

AI Output is provided for informational purposes only and is not a substitute for independent legal advice from a qualified professional or independent human verification.

You must independently review, verify, and, where appropriate, consult a qualified professional before relying on any AI Output.

You are responsible for how you use and interpret AI Output.

6.

Acceptable Use

You agree not to misuse the Services. Without limitation, you will not:

Use the Services to violate law, court orders, or bar/professional rules.

Upload or input unlawful, defamatory, infringing, or harmful content.

Attempt to re-identify any anonymized content or probe the Services for vulnerabilities.

Reverse engineer, scrape, or bypass any technical or usage limits.

Use the Services to develop competing models or datasets.

7.

Your Content; License Grants

You retain ownership of your Content. You grant the Company a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and create derivative works of your Content, not containing work product or confidential information, solely to provide and improve the Services, enforce these Terms, and comply with law.

Do not upload Content you lack rights to use and share.

You are responsible for securing any third-party permissions and lawful bases required to process Content through the Services.

8.

Privacy and Security; Data Handling

We implement technical and organizational measures designed to protect information. The Privacy Policy describes how we collect and use personal data. To enhance privacy, we take measures to avoid sending personal identifiers to third-party large language models; where possible, we use anonymization, pseudonymization, and encryption in transit and at rest.

You must not upload special categories of personal data or regulated data unless the Services explicitly support such use and you have a lawful basis and necessary notices/consents.

We may share de-identified, aggregated, or anonymized summaries for quality, safety, or to connect you with Professionals where you opt-in.

9.

Marketplace; Fees; Payments

Fees for premium features or Professional services will be disclosed in the interface prior to purchase. If you engage a Professional, billing terms may be set by that Professional in a separate engagement. Platform and processing fees may apply. Taxes are your responsibility where applicable.

Refunds, if any, will be governed by the plan or engagement terms presented at checkout.

You must keep payment methods current and accurate.

10.

Intellectual Property; Feedback

We and our licensors own the Services and all related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for lawful purposes.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

11.

Changes; Suspension; Termination

We may modify the Services or these Terms to reflect improvements, legal, or business needs. We will post updated terms with a revised "Last Updated" date. Your continued use constitutes acceptance.

We may suspend or terminate access for violations or risks to the platform or other users.

Upon termination, your right to use the Services ceases, but certain sections survive.

12.

Disclaimers; Limitations of Liability

THE SERVICES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or usefulness of AI Output or any Content.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages; our aggregate liability arising out of or relating to the Services is limited as provided by applicable law.

13.

Indemnification

You will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from any claim, loss, liability, and expense (including reasonable attorneys' fees) arising from your Content, your use of the Services, or your violation of these Terms or law.

14.

Governing Law; Dispute Resolution

Except as provided in the Jurisdiction-Specific Terms below, these Terms are governed by the laws of India. Disputes will be resolved by confidential, individual arbitration under the rules set for the in the Arbitration Act of India 1996 in Delhi, and judgment on the award may be entered in any court of competent jurisdiction. Class or representative actions are not permitted. You and we waive any right to a jury trial to the extent permitted by law.

Nothing in this clause limits either party's right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

15.

Miscellaneous

Entire Agreement; Order of Precedence: These Terms, any plan terms, and the Jurisdiction-Specific Terms constitute the entire agreement.

Severability: If any provision is held unlawful or unenforceable, the remaining provisions remain in full force.

Assignment: You may not assign without our consent. We may assign to an affiliate or in connection with a merger or sale.

Notices: We may provide notices via the Services, email, or your account. You consent to electronic communications.

16.

Jurisdiction-Specific Terms — India

These India-specific terms apply to Users and Professionals who are located in India or whose use of the Services relates to India. In addition to the rules above:

Governing Law and Forum: These Terms are governed by the laws of India. Disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, conducted in English. Courts at New Delhi shall have exclusive jurisdiction for interim relief.

Data Protection: To the extent applicable, data handling will comply with the Digital Personal Data Protection Act, 2023 and applicable rules. By clicking "I Agree," you consent to processing and, where relevant, cross-border transfer of personal data consistent with our Privacy Policy and these Terms.

Information Technology: We will comply with applicable provisions of the Information Technology Act, 2000 and rules framed thereunder, including intermediary due diligence where relevant.

Professional Ethics: Professionals represent compliance with the Bar Council of India Rules, including rules on advertising/solicitation, conflicts, and confidentiality. Any client engagement is between the Professional and the client under separate terms.

17.

Important Service Disclaimer

Litt communications are encrypted in transit and at rest. As a matter of design, Litt does not intentionally send personal identifying information to large language models. Only anonymized or de-identified briefs reflecting broad legal issues may be shared with prospective lawyers if — and only if — you choose to seek an attorney on our platform.

AI systems can hallucinate or produce inaccurate results. You must verify any information or seek advice from a qualified professional before relying on AI Output.
